1. Who We Are

ReviewReply is operated by CodeHawks Limited, a company registered in England and Wales (Company No. 16095971). These Terms & Conditions (“Terms”) govern your use of the ReviewReply platform at reviewreplies.io.

By creating a ReviewReply account, you confirm you have read, understood, and agree to these Terms. If you do not agree, please do not use our service.

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

2. The Service

ReviewReply provides businesses with an AI-powered platform to generate responses to Google Business Profile reviews. The service includes:

• Automated detection of new Google Business Profile reviews
• AI-generated draft responses tailored to the review content and tone
• An approval workflow: you review and approve (or edit) each response before it is posted
• One-click posting of approved responses to your Google Business Profile via the Google API
• A dashboard for managing review history and response status

3. Pricing and Billing

Free Trial

ReviewReply offers a 14-day free trial from the date of registration. No credit card is required during the trial. During the trial, you have full access to all features for one location.

Subscription

After the free trial period, the service is billed at $49 per month per location. “Location” means each distinct Google Business Profile connected to your ReviewReply account. Adding additional locations each incurs the per-location monthly fee.

Billing is monthly and renews automatically. You will receive an email receipt after each charge. Payments are processed by Stripe, Inc.

Prices are in US Dollars (USD). You are responsible for any currency conversion fees charged by your bank or card provider.

4. Cancellation Policy

You may cancel your subscription at any time. To cancel, use the account settings in your dashboard or email hello@reviewreplies.io. Upon cancellation:

• Your access continues until the end of the current billing period.
• You will not be charged for subsequent periods.
• Your Google OAuth connection will be revoked and we will stop fetching reviews or posting responses.

Statutory Cancellation Rights

Under the Consumer Rights Act 2015, you have a 14-day right to cancel your subscription from the date of first payment (i.e. when the trial ends and billing begins). If you cancel within 14 days and the service has not been materially used, you are entitled to a full refund.

After 14 days, or if the service has already been used (e.g. AI responses have been generated or posted on your behalf), no refund is due for the current billing period.

5. Your Responsibilities as a Business Owner

By using ReviewReply, you agree to:

• Review every AI-generated responsebefore approving it. ReviewReply's AI produces draft responses in good faith, but AI outputs may occasionally contain inaccuracies, inappropriate tone, or content that does not reflect your business accurately. You must review each response critically.
• Not post defamatory, misleading, or unlawful responses.You are solely responsible for ensuring that responses you approve comply with applicable law, including consumer protection laws and Google's review response policies.
• Only connect Google Business Profiles you are authorised to manage. You must have legitimate authority to manage and post responses on behalf of the business.
• Maintain account security. You are responsible for the confidentiality of your account credentials and all activity under your account.

6. Google API Dependency

In the event of a material, ongoing API disruption that prevents us from delivering the service, we will notify you by email and may offer a pro-rata credit or the option to cancel without penalty.

7. Intellectual Property

ReviewReply and its content are owned by CodeHawks Limited. The AI-generated draft responses are provided for your use on your Google Business Profile. Google review content belongs to the reviewers who wrote it and to Google; ReviewReply processes that content but does not claim ownership of it.

8. Acceptable Use

You must not use ReviewReply to:

• Post responses that harass, threaten, or defame reviewers
• Post misleading or fraudulent responses that misrepresent your business
• Circumvent rate limits or security controls
• Use the service for any unlawful purpose
• Resell or redistribute the service without prior written permission

We reserve the right to suspend or terminate accounts in breach of this section, without refund.

9. Limitation of Liability

To the fullest extent permitted by law, CodeHawks Limited shall not be liable for:

• Any reputational damage arising from AI-generated responses that you approved and posted
• Any loss arising from Google API changes or interruptions outside our control
• Any indirect, incidental, or consequential loss or damage
• Any claims arising from responses you approved and posted on Google

Our total liability to you shall not exceed the total subscription fees paid by you to ReviewReply in the 12 months preceding the claim.

Nothing in these Terms limits liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under English law.

10. Electronic Commerce

These Terms comply with the Electronic Commerce (EC Directive) Regulations 2002. Clear information about pricing and features is provided before you complete registration. A confirmation email will be sent when your paid subscription begins.

11. Changes to These Terms

We may update these Terms from time to time. We will notify you by email of any material changes at least 14 days before they take effect. Continued use of the service after the effective date constitutes acceptance of the updated Terms.
